Terms of Service
1. Agreement to Terms
By accessing or using JobTrace OS ("the Service"), operated by Uproot Solutions LLC dba JobTrace ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
If you do not agree to these Terms, do not use the Service.
2. Description of Service
JobTrace OS is a business management platform designed for countertop fabrication companies. The Service provides tools for job tracking, scheduling, subcontractor coordination, supplier communication, and related business operations.
3. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.
Each account may be used by one organization ("Tenant"). You may invite team members within your organization. Sharing credentials across organizations is prohibited.
You must provide accurate and complete information when registering and keep your account information current.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations.
- Upload or transmit malicious code, viruses, or harmful data.
- Attempt to gain unauthorized access to any part of the Service or its infrastructure.
- Reverse engineer, decompile, or disassemble any component of the Service.
- Resell, sublicense, or make the Service available to third parties outside your organization.
- Use the Service to send unsolicited communications (spam).
- Interfere with or disrupt the integrity or performance of the Service.
5. Your Data
You retain all rights to the data you upload or create in the Service ("Customer Data"). You grant us a limited license to process Customer Data solely to provide and improve the Service.
We implement reasonable technical and organizational measures to protect Customer Data. However, no system is completely secure and we cannot guarantee absolute security.
Upon termination of your account, we will make Customer Data available for export for 30 days, after which it may be deleted from our systems.
6. Fees and Payment
Subscription fees, billing cycles, and payment terms are as described at the time of purchase or as set out in any separate order form or agreement. All fees are non-refundable except as required by law or as explicitly stated in writing.
We reserve the right to modify pricing with 30 days' written notice. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
Failure to pay fees when due may result in suspension or termination of your account.
7. Intellectual Property
The Service, including all software, designs, text, and other content created by us, is owned by Uproot Solutions LLC dba JobTrace and protected by copyright, trademark, and other laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as described herein.
8. Third-Party Services
The Service integrates with third-party services including WorkOS (authentication), Google Maps (address autocomplete), and email delivery providers. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL UPROOT SOLUTIONS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).
11. Indemnification
You agree to defend, indemnify, and hold harmless Uproot Solutions LLC dba JobTrace and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Customer Data, or your violation of these Terms.
12. Term and Termination
These Terms are effective from the date you first accept them and continue until your account is terminated.
Either party may terminate at any time. We may suspend or terminate your access immediately if you violate these Terms or fail to pay fees when due.
Upon termination, your right to use the Service ceases immediately. Sections 5 (data retention), 7 (intellectual property), 9 (disclaimers), 10 (limitation of liability), and 11 (indemnification) survive termination.
13. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by displaying a notice in the Service. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Colorado.
